Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Luxuries Directory Inc., doing business as Website By Lux and LUXORDERS ("Lux," "we," "us"). They apply to websitebylux.com and all website design, development, hosting, maintenance, and related services (the "Services"). By creating an account, purchasing, or using the Services, you accept these Terms. If you use the Services for a business, you confirm you have authority to bind it.

2. Eligibility and Accounts

You must be at least 18 and able to form a contract. You agree to provide accurate, current information, keep your credentials confidential, and notify us promptly of unauthorized access. You are responsible for all activity under your account.

3. The Services

We provide AI-assisted website design and development with manual editing, pre-built templates, e-commerce, chatbot, SEO and analytics features, hosting, and ongoing maintenance and support. Details and deliverables are described in your order, package, or proposal. We may improve, modify, or discontinue features with reasonable notice where practical.

AI-assisted work. Our Services use artificial intelligence, with human review and editing. AI output may contain errors, may not be unique, and may not suit every purpose. You are responsible for reviewing your website and content, including for accuracy, legal compliance, and accessibility, before and after launch.

4. Fees, Billing and Taxes

Prices are shown at checkout in U.S. dollars. Fees may be one-time project fees, monthly or recurring subscriptions, tiered packages, or hosting and maintenance fees. Payments are made by credit or debit card and processed by Stripe and, where applicable, Lux (see Section 5). You authorize us to charge your payment method for all fees when due.

Automatic renewal. Subscriptions renew automatically at the then-current rate at the end of each billing period until canceled. We will show renewal terms before purchase and send a confirmation. You may cancel at any time in your account or by emailing support@luxvrs.com; cancellation takes effect at the end of the current billing period.

Price changes. We may change recurring prices with at least 30 days' notice. Continuing after the effective date means you accept the new price.

Failed payments. If a payment fails, we may retry, suspend, or remove your website after a reasonable grace period.

Taxes. You are responsible for applicable taxes. Fees are non-refundable except as stated in our Refund & Cancellation Policy.

5. Our Trade Names and Payment Processing

Luxuries Directory Inc. also operates under the trade name LUXORDERS, which is a brand of the same legal entity, not a separate company. When you purchase from any of our trade names, Luxuries Directory Inc. is the seller of record and processes your payment through Stripe. The charge on your statement may show "Lux," "Website By Lux," "Luxuries Directory," or "LUXORDERS." Refunds, cancellations, and disputes for all trade names follow our Refund & Cancellation Policy unless that brand's checkout states otherwise. Payment questions: support@luxvrs.com, subject "Payment Issues." Payments are also subject to Stripe's Services Agreement and Privacy Policy.

6. Ownership and License

Lux property. Lux owns the websites we build, including their design, code, templates, layouts, AI prompts and configurations, and related materials, together with all intellectual property in them.

Your license. While your account is current and fees are paid, we grant you a limited, revocable, non-exclusive license to use your website as delivered and hosted by us. If your plan includes exported or self-hosted files, you may use those files according to your package terms. You keep ownership of the content you provide.

7. Your Content and Responsibilities

You confirm that content you provide (text, images, logos, customer data) does not infringe others' rights or violate the law, and that you have permission to use it. We may decline or remove content that is illegal, infringing, or prohibited by our carriers or providers.

8. Acceptable Use

You may not use the Services for unlawful, deceptive, harmful, or abusive purposes; to send spam or unlawful text messages; to host prohibited content; or to interfere with our systems or other customers.

9. Communication, Support and Revisions

Support is provided by email and chat at support@luxvrs.com. Unless your package says otherwise, we do not guarantee response times or a number of revisions.

10. Your Customers' Data

If your website collects personal information from your own customers, you are responsible for your own privacy policy, notices, consents, and legal compliance. As to that data, Lux acts as your service provider and processes it on your instructions to host and operate your site.

11. Third-Party Services

The Services rely on third parties such as Stripe, hosting and infrastructure providers, and AI providers. We are not responsible for their acts, outages, or terms.

12. Term, Suspension and Termination

These Terms last while you use the Services. You may cancel at any time. We may suspend or terminate access immediately for non-payment, violation of these Terms, security or legal risk, or fraud. After termination we may retain your website and content for up to 30 days, then delete them unless law requires otherwise. Sections that by nature should survive (ownership, payment obligations, disclaimers, limitation of liability, indemnity, governing law) survive.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, LUX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THE ACCURACY OR ORIGINALITY OF AI-GENERATED OUTPUT.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LUX AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. LUX'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID LUX IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

15. Indemnification

You will defend, indemnify, and hold harmless Lux and its officers, employees, and affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, your website's operation, or your breach of these Terms or the law.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Before filing a claim, you agree to email support@luxvrs.com and try to resolve the dispute informally for 30 days. Any dispute not resolved will be brought exclusively in the state or federal courts located in Westchester County, New York, and you consent to their jurisdiction. Any claim must be brought within one (1) year after it arises. Nothing here limits mandatory consumer rights in your country of residence.

17. International Use and Export

The Services are available globally, but you are responsible for complying with local laws that apply to you. You may not use the Services in violation of U.S. export or sanctions laws.

18. General

These Terms, with the policies linked above and any order form, are the entire agreement between us. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale. We are not liable for delays caused by events beyond our reasonable control. Notices to you may be sent to your account email and notices to us to support@luxvrs.com. We may update these Terms by posting a revised version with a new date; material changes will be notified by email or on the site, and continued use means acceptance.
